Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the websites located at https://www.myabt.com and https://www.mortgageworkspace.com, including any related pages, forms, content, downloads, and services made available through those sites (collectively, the “Websites”).

The Websites are operated by Access Business Technologies, LLC (“ABT,” “we,” “us,” or “our”). ABT also does business as MortgageWorkspace® (“MortgageWorkspace”). References to “ABT” include MortgageWorkspace as a DBA, unless the context requires otherwise.

By accessing or using the Websites, you agree to these Terms and to comply with all applicable laws and regulations. If you do not agree, do not use the Websites.

1. Relationship to Customer Agreements

The Websites provide information about ABT and may allow you to request consultations, assessments, proposals, or services. If you purchase Microsoft 365 licenses through ABT or engage ABT for managed services, professional services, or other offerings, your relationship may also be governed by separate written agreements. If there is any conflict between these Terms and a separate written agreement, the separate written agreement controls for those products or services.

2. Changes to These Terms

We may update these Terms from time to time at our sole discretion. When we do, we will update the “Last updated” date at the top of this page. Your continued use of the Websites after changes are posted means you accept the updated Terms.

3. Eligibility

The Websites are intended for business use. You represent that you have the legal authority to enter into these Terms on behalf of yourself or your organization. The Websites are not directed to children under 13.

4. Permitted Use

You may use the Websites only for lawful purposes and in accordance with these Terms. We reserve the right to restrict or block access to the Websites to protect the Websites, our systems, or other users.

5. Prohibited Conduct

You agree not to:

  1. copy, modify, distribute, sell, lease, sublicense, decompile, or reverse engineer any portion of the Websites, except where such restriction is prohibited by law;
  2. remove or alter any copyright, trademark, or other proprietary notices;
  3. “mirror” or frame the Websites, or reproduce the Websites on any other server without our prior written consent;
  4. attempt to gain unauthorized access to any portion of the Websites, accounts, systems, or networks, or probe, scan, or test the vulnerability of any system or network;
  5. introduce malware, viruses, or other harmful code, or interfere with the integrity or performance of the Websites;
  6. use automated means (including bots, scrapers, or spiders) to access the Websites in a way that could degrade performance, bypass controls, or extract content at scale without our prior written permission;
  7. submit false, misleading, or fraudulent information through forms or otherwise;
  8. use the Websites to transmit unlawful, harassing, defamatory, obscene, or infringing content;
  9. use the Websites to send unauthorized advertising, marketing messages, or spam;
  10. harvest or collect personal information about others without appropriate notice and consent as required by law.

6. Intellectual Property

The Websites and their content, including text, graphics, logos, design elements, and software (collectively, “Content”), are owned by or licensed to ABT and are protected by applicable intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Websites for your internal business purposes.

Microsoft and other third-party names, logos, and product names may be trademarks of their respective owners. Nothing in these Terms grants you any right to use ABT or third-party trademarks without permission.

7. User Submissions

If you submit information through a form or otherwise contact us through the Websites, you represent that the information you provide is accurate to the best of your knowledge. Do not submit confidential, regulated, or sensitive information through the Websites unless we specifically request it through a secure channel.

If you submit feedback, suggestions, or ideas, you agree we may use them without restriction or compensation, unless prohibited by law.

8. Privacy

Our collection and use of information related to the Websites is described in our Privacy Policy. By using the Websites, you consent to our collection and use of information as described there.

9. Third-Party Sites and Services

The Websites may reference or link to third-party websites, tools, or services. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party sites or services is at your own risk and may be subject to third-party terms.

10. Informational Content Only

The Content on the Websites is provided for general informational purposes only and may not be complete, current, or accurate. The Websites are not legal, financial, compliance, or professional advice, and you should not rely on the Websites as a substitute for obtaining advice tailored to your situation. Any assessments, grades, examples, or recommendations described on the Websites may vary based on configuration, scope, and environment.

11. Disclaimers

THE WEBSITES AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE EXTENT PERMITTED BY LAW, ABT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES.

12. Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, ABT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITES, EVEN IF ABT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, ABT’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSITES OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS (US $100). THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless ABT and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms or your misuse of the Websites.

14. Suspension and Termination

We may suspend or terminate your access to the Websites at any time if we believe you have violated these Terms or if necessary to protect the Websites, our systems, or other users.

15. Time Limit to Bring Claims

To the extent permitted by law, any claim or dispute arising out of or relating to the Websites or these Terms must be brought within one (1) year after the claim arises, or it is permanently barred.

16. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. To the extent a dispute is not subject to an applicable separate written agreement, you agree to submit to the exclusive jurisdiction of the state and federal courts located in California.

17. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. You may not assign these Terms without our prior written consent, but we may assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets. Our failure to enforce any provision is not a waiver. These Terms constitute the entire agreement between you and ABT regarding the Websites.
